ESG risks RiskHorizon data

RiskHorizon, created by Anthesis, is a purpose made tool for use in the environmental due diligence (EDD) process. It is specifically aimed at helping legal advisors, investors, acquirers, finance professionals and deal makers identify the material ESG risks and opportunities at an early stage of the deal cycle and take full account of the relevant issues throughout the transaction life cycle.

In an increasingly complex and regulated world, where sustainability issues present both risks and opportunities, transactional due diligence needs a deal-specific approach that addresses both conventional compliance and legacy liabilities, as well as sustainability performance and preparedness for the future.

We deliver full due diligence assessments for both vendors and acquirers. Our offer spans from the traditional environmental, health and safety (EHS) risk such as contaminated land, across the full range of environmental, social and governance (ESG) issues.

Our experience is global, covering nearly all commercial and industrial sectors from software to oil and gas, and ranges from advising on small single-site, bolt-on transactions to complex multi-site, multi-jurisdictional businesses.

We understand the differing approaches required depending on the deal structure, for instance the nuances of how to interact with the other side depending on whether the transaction is exclusive or a competitive auction.

Our advice is always commercially astute, seeking to contextualise the issues identified with narrative on the likelihood of the issue arising, timescales and the potential cost implications. Where an issue presents a potential hurdle to the smooth completion of the transaction, we will always seek to identify solutions.

Our advice is also always backed by appropriate levels of professional indemnity insurance cover, disclosure and reliance arrangements.

How We Do It

  • Faster and more comprehensive early phase ESG screening assessments, powered by our extensive experience and our software solution, RiskHorizon.
  • Transactional deal support, both buy and sell side, from data room reviews and desk based analysis and Q&A to full on-site EHS audits and investigations.
  • Using assessment tools where required, such as Sustainanalytics, CSR Hub, CDP and DJSI.
  • Identifying opportunity areas, assessing their feasibility, cost and payback.
  • Using Tableau software to enhance data visualisation.
  • Planning post-acquisition integration, risk abatement and improvement key performance indicators and target setting.
